Alternative Dispute Resolution
1) Scope
1.1 These General Terms and Conditions (hereinafter “GTC”) of NRC International GmbH (hereinafter “Seller”) apply to all contracts for the delivery of goods that a consumer or entrepreneur (hereinafter “Customer”) concludes with the Seller regarding the goods presented in the Seller’s online store. The inclusion of the Customer’s own terms and conditions is hereby objected to, unless otherwise agreed.
1.2 A consumer within the meaning of these GTC is any natural person who concludes a legal transaction for purposes that are predominantly outside their trade, business, or self-employed professional activity. An entrepreneur is a natural or legal person or a partnership with legal capacity who, when concluding a legal transaction, acts in the exercise of their trade, business, or self-employed professional activity.
2) Conclusion of Contract
2.1 The product descriptions contained in the Seller’s online shop do not constitute binding offers on the part of the Seller but serve for the Customer to submit a binding offer.
2.2 The Customer can submit the offer via the online order form integrated into the Seller’s online shop. After placing the selected goods in the virtual shopping cart and going through the electronic ordering process, by clicking the button that completes the order process, the Customer submits a legally binding contractual offer regarding the goods in the shopping cart. The Customer can also submit the offer to the Seller by telephone, fax, email, post, or online contact form.
2.3 The Seller may accept the Customer’s offer within five days by:

sending the Customer a written order confirmation or an order confirmation in text form (fax or email), where the receipt of the order confirmation by the Customer is decisive, or

delivering the ordered goods to the Customer, where the receipt of the goods by the Customer is decisive, or
-
requesting payment from the Customer after they have placed the order.
If multiple of the above alternatives apply, the contract is concluded at the moment one of these alternatives occurs first. The period for accepting the offer begins on the day after the Customer sends the offer and ends with the expiration of the fifth day following the date of sending the offer. If the Seller does not accept the Customer’s offer within this period, it shall be deemed rejected, and the Customer is no longer bound by their declaration of intent.
2.4 When choosing a payment method offered by PayPal, payment processing is carried out by the payment service provider PayPal (Europe) S.à r.l. et Cie, S.C.A., 22-24 Boulevard Royal, L-2449 Luxembourg (hereinafter “PayPal”), subject to PayPal’s terms of use, viewable at https://www.paypal.com/de/webapps/mpp/ua/useragreement-full or—if the Customer does not have a PayPal account—subject to the conditions for payments without a PayPal account, viewable at https://www.paypal.com/de/webapps/mpp/ua/privacywax-full. If the Customer uses a payment method offered by PayPal that is selectable during the ordering process, the Seller declares acceptance of the Customer’s offer at the moment the Customer clicks the final order button.
2.5 When submitting an offer via the Seller’s online order form, the contract text is saved by the Seller and sent to the Customer after submitting their order in text form (e.g., email, fax, or letter). The Seller does not provide further access to the contract text. If the Customer created a user account in the Seller’s online shop before submitting their order, the order data is archived on the Seller’s website and can be accessed by the Customer via their password-protected user account using the appropriate login credentials.
2.6 Before submitting the binding order via the Seller’s online order form, the Customer can detect possible input errors by carefully reading the information displayed on the screen. An effective technical means for better detection of input errors may be the browser’s zoom function. The Customer can correct their entries using the usual keyboard and mouse functions until they click the button completing the order process.
2.7 The German and English languages are available for concluding the contract.
2.8 Order processing and contact usually take place via email and automated order processing. The Customer must ensure that the email address provided for order processing is accurate so that emails sent by the Seller can be received. Particularly when using spam filters, the Customer must ensure that all emails sent by the Seller or third parties engaged by the Seller for order processing can be delivered.
3) Right of Withdrawal
3.1 Consumers generally have a right of withdrawal.
3.2 Further information on the right of withdrawal is provided in the Seller’s withdrawal policy.
3.3 The right of withdrawal does not apply to consumers who, at the time of contract conclusion, are not citizens of a member state of the European Union and whose sole residence and delivery address at the time of contract conclusion are outside the European Union.
4) Prices and Payment Terms
4.1 Unless otherwise stated in the Seller’s product description, the stated prices are total prices including statutory VAT. Any additional delivery and shipping costs are separately indicated in the respective product description.
4.2 For deliveries to countries outside the European Union, additional costs may arise in individual cases that are not the Seller’s responsibility and must be borne by the Customer (e.g., bank fees, currency conversion fees, customs duties, taxes). This also applies if the payment is initiated from outside the EU, even if the delivery itself is within the EU.
4.3 Available payment methods are displayed in the Seller’s online shop.
4.4 If advance payment by bank transfer is agreed upon, payment is due immediately after the conclusion of the contract, unless otherwise agreed.
5) Delivery and Shipping Conditions
5.1 Delivery is made to the shipping address provided by the Customer unless otherwise agreed. The delivery address specified during the Seller’s order process is decisive.
5.2 If delivery fails due to reasons attributable to the Customer, the Customer must bear the reasonable costs incurred by the Seller. This does not apply to return shipping costs if the Customer validly exercises their right of withdrawal. Return shipping costs are subject to the Seller’s withdrawal policy.
5.3 Self-collection is not possible for logistical reasons.
6) Retention of Title
If the Seller makes advance deliveries, ownership of the goods remains with the Seller until full payment of the purchase price.
7) Liability for Defects (Warranty)
7.1 If the purchased item is defective, statutory defect liability provisions apply.
7.2 If the Customer is a consumer, they are asked to report any obvious transport damage to the delivery agent and notify the Seller. Failure to do so does not affect the Customer’s legal or contractual warranty rights.
8) Special Conditions for Repair Services
If the Seller is obligated by contract to perform repair services for the Customer’s item, the following applies:
8.1 Repairs are performed at the Seller’s place of business.
8.2 The Seller may perform the services personally or through qualified personnel or subcontractors. The Customer is not entitled to request a specific person for service unless otherwise agreed.
8.3 The Customer must provide all information necessary for the repair, unless otherwise specified in the contract. This includes detailed error descriptions and relevant circumstances.
8.4 Unless otherwise agreed, the Customer must send the item to the Seller’s location at their own cost and risk. The Seller recommends transport insurance and suitable packaging.
8.5 Return shipping is at the Customer’s expense. Risk passes to the Customer once the item is handed over to the carrier at the Seller’s location. Upon request, the Seller will insure the shipment.
8.6 These provisions do not limit the Customer’s statutory warranty rights when purchasing goods.
8.7 For repair-related defects, statutory warranty provisions apply.
9) Redemption of Promotional Vouchers
9.1 Promotional vouchers issued free of charge for a specific time period cannot be purchased and can only be redeemed in the Seller’s online store during the indicated period.
9.2 Some products may be excluded from voucher promotions, as indicated on the voucher.
9.3 Vouchers must be used before completing checkout; retroactive application is not possible.
9.4 Only one promotional voucher may be redeemed per order.
9.5 The order total must be at least equal to the voucher value. Remaining balances will not be refunded.
9.6 If the voucher does not cover the full order amount, the remaining balance must be paid using another accepted payment method.
9.7 Vouchers cannot be exchanged for cash or accrue interest.
9.8 If the Customer returns goods paid for (in part) with a voucher, the voucher will not be refunded.
9.9 Vouchers are non-transferable and may only be used by the person named on them. The Seller reserves the right to verify ownership.
10) Applicable Law
10.1 All legal relationships between the parties are governed by the law of the Federal Republic of Germany, excluding international sales law. For consumers, this choice of law only applies to the extent that the consumer is not deprived of mandatory legal protections in their country of residence.
10.2 This legal choice does not apply to consumers outside the EU whose residence and shipping address are also outside the EU at the time of contract conclusion.
11) Place of Jurisdiction
If the Customer is a merchant, a legal entity under public law, or a public-law special fund based in Germany, the Seller’s place of business is the exclusive place of jurisdiction. If the Customer is based outside Germany, the Seller’s business location is also the exclusive place of jurisdiction if the contract pertains to the Customer’s trade or profession. The Seller reserves the right to sue at the Customer’s location as well.
12) Alternative Dispute Resolution
12.1 The EU Commission provides a platform for online dispute resolution at: https://ec.europa.eu/consumers/odr
This platform serves as a contact point for out-of-court resolution of disputes from online purchases involving consumers.
12.2 The Seller is neither obliged nor willing to participate in a dispute resolution procedure before a consumer arbitration board.
